Quotations and Project Acceptance

All projects are undertaken on a fixed price basis. Before any work begins, prospective clients must contact us to discuss their requirements. Following the consultation, we will prepare a written quotation outlining the agreed scope of work, estimated delivery schedule, pricing, and any applicable conditions. A binding agreement is formed only after the client accepts the quotation and any agreed payment requirements have been satisfied.

Client Responsibilities

Clients are responsible for providing accurate information, timely feedback, approvals, content, and any materials necessary for project completion. Delays in supplying requested information may affect delivery schedules. Clients remain responsible for ensuring that all information and materials supplied to us do not infringe the rights of any third party or violate applicable laws.

Project Scope

The quotation defines the scope of each project. Any request that falls outside the agreed specification may require a revised quotation, updated delivery timeframe, or additional charges. We will discuss any proposed changes with the client before additional work is undertaken.

Payments

Payment terms will be specified within the accepted quotation. All fees are payable in Pounds Sterling unless otherwise agreed in writing. Failure to make payments when due may result in suspension of services until outstanding balances have been settled.

Intellectual Property

Unless otherwise agreed in writing, intellectual property rights relating to pre-existing software, development tools, frameworks, templates, methodologies, and proprietary materials remain the property of SUNSET SEVEN LIMITED. Upon receipt of all outstanding payments, ownership of the final bespoke software deliverables specifically created for the client will transfer to the client to the extent agreed within the quotation. Third party software, libraries, and licences remain subject to their respective licence terms.

Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or commercially sensitive information disclosed during the course of a project. Confidential information shall not be disclosed to any third party unless required by law or with the prior written consent of the other party.

Warranties

We will perform our services using reasonable skill and care in accordance with applicable United Kingdom legislation, including the Consumer Rights Act 2015 where applicable. While we endeavour to deliver reliable software, we cannot warrant uninterrupted operation where external systems, third party providers, internet services, or client supplied infrastructure influence performance.

Limitation of Liability

Nothing within these Terms and Conditions excludes or limits liability where such exclusion is prohibited by law, including liability for fraud, fraudulent misrepresentation, or death or personal injury resulting from negligence. Subject to applicable law, SUNSET SEVEN LIMITED shall not be liable for indirect, consequential, incidental, or economic losses arising from the use of our services. Our total liability shall not exceed the amount paid by the client for the relevant project giving rise to the claim.

Termination

Either party may terminate a project where the other party commits a material breach of these Terms and Conditions and fails to remedy the breach within a reasonable period after receiving written notice. Upon termination, the client shall pay for all completed work performed up to the termination date.

Website Use

Users agree not to misuse our website, attempt unauthorised access, distribute malicious software, interfere with website functionality, or engage in unlawful activities while using our online services.

Privacy

Personal information collected through our website and services is processed in accordance with our Privacy Policy and applicable United Kingdom data protection legislation, including the UK General Data Protection Regulation and the Data Protection Act 2018.

Force Majeure

Neither party shall be liable for delays or failure to perform obligations resulting from circumstances beyond reasonable control, including natural disasters, acts of government, cyber incidents, utility failures, industrial disputes, or other unforeseen events.

Governing Law

These Terms and Conditions shall be governed by the laws of England and Wales. Any disputes arising from these Terms and Conditions or our services shall be subject to the exclusive jurisdiction of the courts of England and Wales.
